These Terms of Service ("Terms") govern your access to and use of VaultBro, a service operated by Stratonix Systems LLP (LLPIN ACT‑8303), a Limited Liability Partnership registered in India with its registered office at Shop No. 1, Tandan Building, Shivaji Marg, Hewett Road, Lucknow, Uttar Pradesh – 226018, India ("VaultBro", "we", "us", "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

VaultBro is a secure, AI‑assisted document vault. You can upload important documents, which are encrypted, automatically analysed and organised, monitored for expiry dates, and retrievable through search and natural‑language chat. Specific features may change over time.

2. Eligibility

You must be at least 16 years old to use the Service. If you are located in India, you must be at least 18 years old (see our Privacy Policy for the reason). By using the Service, you confirm you meet the minimum age that applies to you and have the legal capacity to enter into these Terms.

3. Your account

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us immediately at support@vaultbro.com if you suspect unauthorised access.

4. Your content and your rights in it

• You own your content. The documents and information you upload ("Your Content") remain yours. We claim no ownership of it.
• Licence to operate the Service. You grant us a limited, non‑exclusive licence to store, process, encrypt, analyse, and display Your Content solely to provide the Service to you and for no other purpose.
• No training. We do not use Your Content, or anything derived from it, to train, fine‑tune, or improve any AI model.
• Your responsibilities. You confirm you have the right to upload Your Content and to allow us to process it. You must not upload content that is unlawful or that infringes the rights of others. Acceptable use is governed by our Acceptable Use Policy.

5. AI features — important limitations

The Service uses artificial intelligence to extract information from your documents, detect dates, monitor for expiries, and answer questions.

• AI output is provided on a best‑effort basis and may be inaccurate or incomplete. Extracted fields, detected dates, expiry alerts, and chat answers can contain errors.
• You remain solely responsible for verifying any information and for managing your own deadlines and obligations (for example, renewing a passport, licence, or insurance policy).
• We are not liable for any loss arising from reliance on AI‑generated output, missed expiry alerts, or incorrectly extracted data. The Service is an organisational aid, not a source of authoritative or legal advice.

6. Subscriptions, billing and renewal

• The Service is offered on a single annual subscription. The founding‑member price is US$112 per year (standard price US$149 per year).
• Your card is charged immediately on sign‑up, and your subscription renews automatically each year at the then‑applicable price for your plan, unless you cancel before the renewal date.
• The founding‑member price remains constant for as long as your subscription stays active and uninterrupted.
• All fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.
• You can cancel auto‑renewal at any time from your account settings; cancellation takes effect at the end of the current billing period (subject to the Refund Policy below).

7. Refunds

We offer a 90‑day money‑back guarantee: if you cancel within the first 90 days of your initial purchase, you are entitled to a full refund. Full details and conditions are set out in our Refund Policy, which forms part of these Terms.

8. Acceptable use

You agree not to misuse the Service. Prohibited conduct is described in our Acceptable Use Policy. We may suspend or terminate accounts that violate it.

9. Our intellectual property

The Service, including its software, design, branding, and content (excluding Your Content), is owned by Stratonix Systems LLP and protected by intellectual property laws. We grant you a limited, non‑transferable, revocable licence to use the Service in accordance with these Terms. You may not copy, modify, reverse‑engineer, or create derivative works from the Service.

10. Third‑party services

The Service relies on third‑party providers (e.g. hosting, storage, payment, and AI providers). Your use of the Service may also be subject to those providers' terms. We are not responsible for third‑party services outside our control.

11. Privacy

Our handling of your personal data is described in our Privacy Policy, which forms part of these Terms.

12. Suspension and termination

• You may stop using the Service and delete your account at any time.
• We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully, or if required by law.
• On termination, your data is deleted in accordance with our Privacy Policy (permanent deletion within 7 days), subject to any records we are legally required to retain.

13. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Service will be uninterrupted, error‑free, or that AI output will be accurate. Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.

14. Limitation of liability

To the maximum extent permitted by law:

• We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or related to your use of the Service.
• Our total aggregate liability for any claim arising out of or related to the Service will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence. If you are a consumer, you may have mandatory rights under your local law that these Terms do not affect.

15. Indemnity

You agree to indemnify and hold harmless Stratonix Systems LLP from any claims, losses, or expenses arising from your breach of these Terms, your misuse of the Service, or content you upload in violation of the law or others' rights.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, notify you by email or in‑app. Continued use after changes take effect constitutes acceptance.

17. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts at Lucknow, Uttar Pradesh, India will have exclusive jurisdiction over any dispute, except where mandatory consumer‑protection laws in your country of residence grant you the right to bring proceedings in your local courts.
